Terms and Conditions for Website Design Services
1. Agreement
These Terms and Conditions ("Agreement") govern the provision of website design services ("Services") by Moore Business Management ("MBM") to the client ("Client") as described in the project proposal ("Proposal"). By accepting the Proposal or engaging MBM for Services, the Client agrees to be bound by this Agreement.
2. Services
MBM will provide website design services as outlined in the Proposal. The Services may include, but are not limited to:
Website design and development
Content creation and integration
Search engine descriptions and titles (SEO)
Website maintenance and support
3. Client Responsibilities
The Client is responsible for:
Providing timely and accurate information and materials necessary for the completion of the Services.
Reviewing and approving all design concepts and deliverables.
Maintaining the confidentiality of any login credentials or access information provided by MBM.
Complying with all applicable laws and regulations in relation to the website and its content.
4. Fees and Payment
The Client shall pay MBM the fees as outlined in the Proposal. Full payment is due upon signing of the Agreement.
5. Intellectual Property
MBM retains all intellectual property rights to any original design concepts, graphics, or code created in connection with the Services. Upon full payment of the fees, MBM grants the Client a non-exclusive, non-transferable license to use the website and its content for the Client's business purposes.
6. Revisions and Modifications
The Proposal includes a specific number of revisions for each phase of the project. Any additional revisions or modifications requested by the Client may be subject to additional fees.
7. Termination
This Agreement may be terminated by either party upon written notice if the other party breaches any material provision of this Agreement and fails to cure such breach within thirty (30) days after written notice of the breach.   
8. Limitation of Liability
MBM shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to this Agreement or the Services, whether in contract, tort, or otherwise.   
9. Indemnification
The Client agrees to indemnify and hold harmless MBM from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of or relating to the Client's use of the website or its content.   
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.   
12. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.   
13. Waiver
No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.   
14. Notices
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested.
15. Binding Effect
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
