Terms and Conditions

Agreement for Social Media Marketing Services

This agreement (the "Agreement") is made and entered into as of the date of purchase (the "Effective Date") by and between Moore Business Management, Inc., a Utah S Corporation ("Moore Business Management"), and the individual or entity identified in the purchase order or online form (the "Client").

1. Services

Moore Business Management agrees to provide the Client with social media marketing services (the "Services") as described in the purchase order or online form. The Services may include, but are not limited to:

• Creating and managing social media accounts

• Developing and implementing social media strategies

• Creating and curating social media content

• Monitoring social media activity

• Engaging with social media users

• Analyzing social media data

• Providing social media consulting services

2. Term and Termination

This Agreement shall commence on the Effective Date and shall continue for a period of thirty (30) days (the "Term"). This Agreement may be terminated earlier by either party upon written notice to the other party.

3. Fees and Payment

The Client shall pay Moore Business Management the fees set forth in the purchase order or online form (the "Fees"). The Fees shall be payable in advance of the commencement of the Services.

4. Intellectual Property

All intellectual property rights in any materials created by Moore Business Management in connection with the Services shall be the sole and exclusive property of Moore Business Management. The Client shall have a non-exclusive, non-transferable license to use such materials for its internal business purposes only.

5. Confidentiality

Each party agrees to hold confidential all information disclosed by the other party in connection with this Agreement, whether or not such information is designated as confidential.

6. Disclaimer of Warranties

Moore Business Management makes no warranties, express or implied, with respect to the Services, including any warranty of merchantability or fitness for a particular purpose.

7. Limitation of Liability

In no event shall Moore Business Management be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the Services, even if Moore Business Management has been advised of the possibility of such damages.   

8. Indemnification

The Client agrees to indemnify and hold harmless Moore Business Management from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or in connection with the Client's use of the Services.   

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah.   

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.   

11. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:   

If to Moore Business Management:

If to the Client:

At the address set forth in the purchase order or online form.

12. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party.

13. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.   

14. Binding Effect

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
